Welcome to ThinkEdge.ai. These Terms of Service ("Terms") govern your access to and use of the ThinkEdge.ai platform ("Platform," "Service," "we," "our," or "us"). By accessing or using our Platform, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing or using ThinkEdge.ai, you agree to:

• Comply with these Terms and all applicable laws
• Be bound by our Privacy Policy and Cookie Policy
• Accept updates to these Terms as posted
• Use the Platform responsibly and ethically

If you do not agree to these Terms, you may not use the Platform.

2. Eligibility

2.1 Age Requirements

• Institute Admins & Teachers: Must be 18 years or older
• Students Under 18: Must have parent/guardian or school consent
• Students 18+: May use the Platform independently

2.2 Authority

By registering as an Institute Admin, you represent that you have the authority to bind your institution to these Terms.

3. Account Registration

3.1 Account Creation

To use ThinkEdge.ai, you must:

• Provide accurate and complete information
• Create a secure password
• Maintain the confidentiality of your account credentials
• Notify us immediately of any unauthorized access

3.2 Account Security

You are responsible for:

• All activities under your account
• Keeping your password secure
• Ensuring only authorized users access your account

3.3 Account Types

• Institute Admin: Full control over institute, teachers, and students
• Teacher: Create courses, generate assessments, evaluate students
• Student: Take assessments, view results, track progress

4. Platform Services

4.1 AI-Powered Features

ThinkEdge.ai provides:

• AI-powered question generation using OpenAI GPT models
• Automated grading for multiple question types
• AI evaluation of short answer responses
• Multilingual support for questions and answers
• Instant feedback and personalized suggestions

4.2 Credit System

AI question generation uses credits:

• 1 credit = 1 AI-generated question
• Credits allocated by Institute Admin or purchased
• Credits deducted only on successful generation
• Reusing saved assessments costs 0 credits
• Credits non-refundable unless technical failure

5. Fair Usage Policy (Enterprise Plans)

For plans with "Unlimited" features, our Fair Usage Policy applies:

5.1 Reasonable Use

"Unlimited" means reasonable, good-faith use for educational purposes. It does not mean:

• Generating thousands of questions in a short period
• Using the service for commercial resale
• Automated/bot-driven excessive usage
• Activities that strain system resources

5.2 Monitoring

We monitor usage to ensure:

• Service quality for all users
• Fair resource distribution
• Detection of abuse or misuse

5.3 Actions for Excessive Use

If usage is deemed excessive, we may:

• Contact you to discuss usage patterns
• Temporarily throttle service
• Recommend upgrading to a custom plan
• Suspend account for abuse (rare)

6. Acceptable Use

6.1 Permitted Uses

You may use ThinkEdge.ai to:

• Create and distribute educational assessments
• Evaluate student performance
• Generate AI-powered questions
• Track student progress
• Improve teaching and learning outcomes

6.2 Prohibited Uses

You may NOT:

• Use the Platform for any illegal purpose
• Share account credentials with unauthorized persons
• Attempt to hack, reverse engineer, or exploit vulnerabilities
• Upload malicious code, viruses, or harmful content
• Harass, abuse, or harm other users
• Generate inappropriate or offensive content
• Scrape, copy, or redistribute Platform content without permission
• Use the Platform to compete with ThinkEdge.ai
• Resell or sublicense access to the Platform
• Circumvent usage limits or restrictions

7. Content and Intellectual Property

7.1 Your Content

You retain ownership of content you create (questions, answers, assessments). By using ThinkEdge.ai, you grant us:

• License to store, process, and display your content
• Right to use AI to evaluate and provide feedback
• Permission to anonymize and aggregate data for improvements

7.2 Our Content

ThinkEdge.ai and all related content are our property:

• Platform design, code, and features
• ThinkEdge.ai branding, logos, and trademarks
• AI models and algorithms (licensed from OpenAI)
• Documentation and training materials

7.3 AI-Generated Content

Questions generated by our AI:

• Are created using OpenAI's GPT models
• Become your content once generated
• May be similar to content generated for others
• Should be reviewed before use in assessments

8. Payment and Billing

8.1 Subscription Plans

• Starter: 100 free credits with basic features
• Professional: Custom credits with advanced features
• Enterprise: Unlimited* credits with premium features (* Fair Usage Policy applies)

8.2 Billing

• Payments processed securely through third-party providers
• Subscriptions billed monthly or annually
• Automatic renewal unless cancelled
• Credit card charged on renewal date

8.3 Refunds

• No refunds for unused credits or partial months
• Refunds only for technical failures or billing errors
• Request refunds within 30 days of charge

8.4 Cancellation

• Cancel anytime from account settings
• Access continues until end of billing period
• No refunds for early cancellation

9. Data and Privacy

9.1 Data Collection

We collect data as described in our Privacy Policy, including:

• Account and profile information
• Assessment content and student responses
• Usage data and analytics

9.2 Data Security

We implement security measures including:

• SSL/TLS encryption
• Password hashing (bcrypt)
• Multi-tenant data isolation
• Regular security audits

9.3 Third-Party AI

AI features use OpenAI's API:

• Content sent to OpenAI for processing
• Subject to OpenAI's usage policies
• We don't control OpenAI's data practices

10. Disclaimers and Limitations

10.1 Service "As Is"

ThinkEdge.ai is provided "AS IS" without warranties of any kind, including:

• No guarantee of uninterrupted service
• No warranty of error-free operation
• No guarantee of AI accuracy or correctness
• No warranty of fitness for particular purpose

10.2 AI Accuracy

While our AI is highly accurate (95%+), you acknowledge:

• AI may make mistakes in grading or feedback
• Teachers should review AI evaluations
• Final grading decisions rest with teachers
• We are not liable for AI errors

10.3 Educational Content

• We do not verify accuracy of user-generated content
• Teachers responsible for question quality
• Not liable for educational outcomes

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• We are not liable for indirect, incidental, or consequential damages
• We are not liable for lost profits, data loss, or business interruption
• Our total liability is limited to amounts paid by you in the last 12 months
• Some jurisdictions don't allow these limitations

12. Indemnification

You agree to indemnify and hold harmless ThinkEdge.ai from claims arising from:

• Your violation of these Terms
• Your violation of any law or regulation
• Your content or activities on the Platform
• Your infringement of third-party rights

13. Service Modifications

We reserve the right to:

• Modify or discontinue features at any time
• Update pricing with 30 days' notice
• Change AI models or capabilities
• Improve or enhance the Platform

14. Termination

14.1 By You

You may terminate by:

• Cancelling subscription in account settings
• Deleting your account
• Emailing info@cybexinnovation.com

14.2 By Us

We may suspend or terminate your account if you:

• Violate these Terms
• Engage in fraudulent activity
• Fail to pay fees
• Abuse the Platform or other users

14.3 Effect of Termination

• Access to Platform immediately revoked
• You may request data export within 30 days
• We may delete your data after 90 days
• Obligations survive termination

15. Dispute Resolution

15.1 Governing Law

These Terms are governed by the laws of [Your Jurisdiction], without regard to conflict of law principles.

15.2 Dispute Process

2. Negotiation: Good faith attempt to resolve within 30 days

16. Changes to Terms

We may update these Terms by:

Continued use after changes constitutes acceptance.

17. General Provisions

17.1 Entire Agreement

These Terms, Privacy Policy, and Cookie Policy constitute the entire agreement.

17.2 Severability

If any provision is unenforceable, the remaining provisions remain in effect.

17.3 No Waiver

Our failure to enforce any right doesn't waive that right.

17.4 Assignment

You may not assign these Terms. We may assign to affiliates or in a merger/acquisition.
